Rules of the Textit partner referral program.

These Rules govern the relationship between the Partner and the Provider in connection with the Partner’s actions aimed at attracting new Clients for the Provider.

Terms and definitions

Provider’s Client (referred client) means a natural or legal person who started using the Provider’s services because of the Partner’s actions.

Lead means a user of the Internet registering on the Provider’s website and purchasing the Provider’s services.

Personal account means the non-public section of the Provider’s website made available to the Partner. Access is provided through an account.

Partner means a natural or legal person who takes actions to attract new Clients for the Provider under these Rules.

Provider means Individual entrepreneur Vladislav Mikhailovich Yagudin (INN 781412252217, OGRNIP 318774600597020), the operator of the Textit internet service.

Promo code means a unique code issued by the Provider to the Partner. If a prospective Client enters this code when registering or ordering services and then becomes a user of the Provider’s services, that person is treated as a Client attracted by the Partner.

Referral link means a unique link to the Provider’s website issued by the Provider to the Partner. If a prospective Client follows this link and then becomes a user of the Provider’s services, that person is treated as a Client attracted by the Partner.

1. Obligations of the parties

1.1. The Provider undertakes to:

1.1.1. Give the Partner access to the Personal account.

1.1.2. Give the Partner a Referral link and a Promo code used to determine that Clients were attracted. The link and the promo code are equivalent: either is sufficient.

1.1.3. Give the Partner access in the Personal account to statistics on referred Clients.

1.1.4. Calculate the Partner’s remuneration based on the statistics and these Rules.

1.1.5. Upon the request of a Partner who is self-employed, a sole proprietor, or an organization, pay the remuneration to the Partner’s bank account no later than the 20th day of the month following the reporting period, provided the request is approved. For a Partner who is a natural person and is not self-employed or a sole proprietor, remuneration is credited to the personal account (Balance) in the Service.

1.2. The Partner undertakes to:

1.2.1. Read these Rules before taking part. Using the program in the Personal account and submitting a payout request mean acceptance of the current version of the Rules.

1.2.2. Keep Personal account credentials confidential. Actions taken in the Personal account are treated as the Partner’s actions.

1.2.3. Share information about the Provider’s services with prospective Clients using the Referral link or Promo code.

1.2.4. Use only accurate and up-to-date information about the Provider and the Textit service.

1.2.5. Upon the Provider’s request, remove inaccurate or unlawful information, including advertising that may cause losses or harm the Provider’s reputation.

1.2.6. Treat the Provider’s statistics as the sole source for determining that Clients were attracted.

1.2.7. A Partner who is self-employed, a sole proprietor, or an organization submits payout requests through the Personal account and provides accurate payment details. Payments to third-party accounts are not allowed. A Partner who is a natural person and does not fall into those categories may only credit remuneration to the personal account (Balance) in the Service.

1.2.8. Upon request, provide documents needed for a bank payout (registration and tax-status documents for the self-employed, sole proprietors, and legal entities).

1.2.9. Notify the Provider of any change in details within 5 business days.

1.2.10. Comply with advertising law, including Article 18.1 of Federal Law No. 38-FZ of 13 March 2006 “On Advertising”: mark ads as “advertising”, identify the advertiser and/or its website, keep an ERID token, and, where required, report the ad to Roskomnadzor. Unless the law provides otherwise, the Partner pays any advertising levy itself.

1.2.11. Reimburse the Provider for expenses, including fines and legal costs, if the Partner’s breach of advertising law or these Rules causes the Provider to be held liable. Compensation is due within 10 business days of notice.

1.2.12. A sole proprietor warrants that its EGRIP extract includes an activity that allows attracting clients (in particular OKVED 82.99 or 63.11). If those codes are missing, the Partner bears the related risks.

2. Remuneration and settlements

2.1. All settlements are in roubles.

2.2. Remuneration is calculated from amounts actually paid by referred Clients for the Provider’s services (“Client expenses”). Only Clients shown in the Provider’s statistics are counted.

2.3. The Partner’s remuneration is 10% of Client expenses. Commission is accrued on each successful payment by a referred Client.

2.4. A new Client who arrives via a Referral link or Promo code receives a 25% discount on the first paid tariff purchase. The Partner may mention this in advertising. Later payments are charged at the full tariff price.

2.5. If the same visitor follows links from several Partners, the visitor is attributed to the Partner whose visit occurred last. After the account is registered, the attribution does not change. The time between the visit and the payment does not matter.

2.6. A bank payout is made upon the request of a Partner who is self-employed, a sole proprietor, or an organization. The minimum payout is 1000 ₽. During a reporting period (1 month) such a Partner may receive no more than 1 payout. If the accrued amount is below the threshold, it is carried forward.

2.7. Remuneration is paid by bank transfer only to a Partner who is self-employed, a sole proprietor, or an organization, no later than the 20th day of the month following the reporting period, provided the Provider has approved the request.

2.8. Remuneration paid to a bank account is taxed according to the Partner’s tax regime. The specific treatment follows Russian law and the documents supplied by the Partner.

2.9. For a Partner who is a natural person and is not self-employed or a sole proprietor, remuneration is credited only to the personal account (Balance) in the Service and may be used only to pay for the Provider’s services. A bank payout (withdrawal) is not made to such a Partner.

3. How the parties interact

3.1. The Partner warrants that it has authority to take part and that it will comply with Russian law and third-party rights.

3.2. The Partner’s services are deemed rendered when both of the following occur: (a) the referred Client registers an account; and (b) the Client orders the Provider’s paid services.

3.3. The Partner must not:

3.3.1. Use the Provider’s advertising on resources that violate the law, or distribute advertising unlawfully.

3.3.2. Register accounts for personal use through the Partner’s own referral program (self-referral).

3.3.3. Promote the Provider’s services on branded queries such as “textit”, “textit.ru”, “textit promo code” and derivatives in search engines, or by spam via email, messengers, forums, or social networks. Contextual ads are allowed only without branded queries; ad links must lead to third-party informational material, not directly to a referral link on https://textit.ru.

3.3.4. State that the Provider’s services may be used for activity contrary to the public offer published on the Provider’s website.

3.3.5. Place the referral link or promo code on coupon or discount aggregators. The promo code is intended for individual sharing.

3.3.6. Create websites that imitate the Provider’s website, or present the Provider as the owner of the Partner’s website, including by using the Textit designation or confusingly similar signs.

3.4. The Provider may amend the Rules unilaterally, including the remuneration rate and payout procedure, by notice in the Personal account and/or publication on the website at least 5 calendar days before the changes take effect. Continued attraction of Clients means the Partner accepts the changes.

3.5. If the Partner disagrees, it must notify the Provider before the changes take effect. Participation then ends when the changes take effect.

3.6. The Provider may refuse a payout and suspend participation if the Rules are breached.

4. Force majeure

4.1. The parties are released from liability for failure to perform caused by force majeure arising after participation begins: natural disasters, catastrophes, terrorist acts, military action, civil unrest, acts of public authorities, and other circumstances that cannot reasonably be foreseen or prevented.

4.2. Performance deadlines are postponed for the duration of such circumstances, but not more than 60 calendar days. If they last longer, the parties discuss alternative performance or ending participation without damages.

5. Confidentiality

5.1. The parties keep confidential the terms of participation, correspondence, statistics, and other information marked confidential, and do not disclose it to third parties without the disclosing party’s prior written consent.

5.2. This duty does not apply to information that became public other than through a breach, was obtained from another lawful source, or was disclosed with written permission.

5.3. The duty lasts for 3 years after participation ends.

6. Term and other conditions

6.1. The Partner accepts these Rules when it starts using the program in the Personal account. A payout request confirms acceptance of the current version.

6.2. The Rules take effect when published at https://textit.ru/affiliate-program-rules and remain in force while the Partner participates.

6.3. The absence of payout requests for 1 year may be treated by the Provider as grounds to end participation, with notice through the Personal account. This does not prevent taking part again later.
